01Agreement and operator
These terms apply to XCR, its website, Idea workshop and coding plugin (the “service”). Your agreement is only with ONE LOOP PTY LTD (ACN 646 633 285, ABN 77 646 633 285), an Australian proprietary company (“we”, “us”). No director, shareholder, employee or contractor of the company is a party to these terms or personally assumes any obligation under them.
By ticking the agreement box, creating an account, installing the plugin or otherwise using the service you agree to these terms and to the policies they refer to: the Privacy Policy (/legal/privacy), Acceptable Use Policy (/legal/acceptable-use), AI Providers notice (/legal/ai-providers) and Credits & Refund Policy (/legal/credits-refunds). If you do not agree, do not use the service.
02Payments through Creem
Creem is the merchant of record and reseller for purchases made through its checkout. Creem collects the payment, calculates and collects applicable taxes (such as GST, VAT or sales tax), issues the receipt or invoice and handles payment disputes and chargebacks under its buyer terms: https://www.creem.io/buyer-terms. We remain responsible for the service itself and for support. Checkout is offered only when it is enabled on the website.
03The current service
The free Idea workshop helps turn an idea into a draft project plan. The plugin lets your AI coding tool delegate implementation work, review the result and apply changes to your project. A plan or a completed installation is not a completed project. The former paid web chat and website BYOK interface are no longer offered.
AI results may be incorrect, incomplete, insecure, infringing or unsuitable. Automated checks reduce some risks but do not guarantee correctness. You must review and test all output before using or deploying it. Output is not legal, medical, financial or other professional advice. Published benchmark results are illustrative and do not guarantee your results.
04Eligibility and account security
You must be at least 18 and have authority to enter this agreement, including authority for any organisation you represent. Keep account information accurate and protect your email, sign-in sessions, plugin credentials and authorised computers. You are responsible for activity and charges made through your account, keys and authorised computers. Do not use someone else’s account or bypass access controls.
05Installing and using the plugin
The installer changes your AI coding tool’s configuration and instructions (for example adding an MCP server entry and an instruction that asks the tool to delegate larger implementation tasks to XCR) and creates backups. Review the installation instruction before running it. Public website installation codes are short-lived and single-use; private installation links or other credentials may remain usable until revoked. Treat them as confidential and revoke access if exposed.
The plugin works in a separate local copy of your project and runs checks and formatters on your computer, including code written by AI. Where available it uses an offline sandbox; on systems where the sandbox is not available (for example Windows without WSL, or Linux without bubblewrap) checks run without isolation and with network access, and the plugin reports this. Local commands can affect your computer and data. You run the plugin and any AI-generated code at your own direction; keep version control and backups and review changes before applying them. Uninstalling removes the plugin’s configuration entries and its ~/.mc2 folder, but may leave task branches or working copies inside your projects that require separate removal.
06Direct mode
If you set up the plugin with your own OpenRouter key (“direct mode”), the plugin sends requests from your computer directly to OpenRouter under your own OpenRouter account and terms. We do not receive that content, do not charge a fee for direct mode and do not control OpenRouter’s service or charges. The plugin software is still provided under these terms.
07Free workshop and paid tasks
The Idea workshop is free within its displayed limits. Your draft is stored in your browser for up to 24 hours and cleared on expiry when next accessed, or when you choose Start over. Creating a plan does not itself authorise paid implementation.
Before paid work, agree the task scope and spending cap in your AI coding tool. Plugin tasks charge for successful, metered AI calls at provider cost plus 20%, plus one fixed $0.02 fee per task that has successful model work, including work on an incomplete result or one that fails your checks. A task limit and any configured daily limit apply. Calls without billable model work are not charged. See /legal/credits-refunds.
08Payments and credits
Where checkout is available, credits are prepaid in USD through Creem, without a subscription or automatic renewal. The price of each credit pack includes a payment processing amount of 3.9% of the amount charged plus US$0.40, which is passed on to you, and is shown before purchase; taxes are calculated and shown by Creem at checkout. There is no free sign-up credit. Purchased credits do not expire while your account is open. Refunds are described in /legal/credits-refunds.
09Data and third-party AI
To perform work, relevant instructions, selected code and task context are sent through our servers to third-party AI APIs (such as OpenAI, Anthropic and Google; the current list is at /legal/ai-providers). The full repository stays on your computer. Our servers pass this content through to the provider and do not save full task prompts, model replies or source files in our database or production logs; task titles and usage metadata are retained as described in /legal/privacy. Do not submit unnecessary secrets or personal information.
Third-party providers have their own API terms, retention rules and data-use policies. Review the current list and policy links at /legal/ai-providers before sending sensitive information.
10Your content and intellectual property
You must have all rights and permissions needed to submit your code, content and data. You retain your rights in inputs and, to the extent allowed by law and provider terms, outputs. AI output may not be unique, may not qualify for copyright and may resemble third-party material; you are responsible for checking licences and third-party rights before using it.
You grant us a non-exclusive, worldwide licence to transmit and process your content only as needed to provide, secure and support the requested service. This does not give us ownership of your project. The service’s own software, branding and other intellectual property remain with us or our licensors; you may not copy, resell, reverse engineer or redistribute the plugin except as the law permits.
11Privacy and historical features
Our Privacy Policy at /legal/privacy explains current data processing and any records retained from retired features. Retiring a feature does not itself delete historical records. Account deletion and privacy requests may be subject to legally required financial or security retention.
12Acceptable use
Use the service lawfully and follow /legal/acceptable-use and applicable provider policies. In particular, do not use the service to create or distribute malware or for any illegal purpose, misuse credentials, evade spending controls or submit material you have no right to share.
13Suspension and termination
We may suspend or restrict your account, computers or keys, without prior notice where reasonable, if: you breach these terms or the Acceptable Use Policy; we reasonably suspect fraud, abuse, a security compromise or unlawful use; a payment is disputed, charged back or reversed; or a law, regulator, payment provider or AI provider requires it. Where practicable we will tell you the reason and how to resolve it.
We may terminate your account for serious or repeated breach by notice, or for any other reason on 30 days’ notice. If we terminate for a reason other than your breach, or permanently discontinue the service, we will refund your unused purchased credits. You may stop using the service, revoke plugin access or close your account at any time; unused credits are then handled under /legal/credits-refunds.
14Changes to prices, features and terms
We may change prices (including the markup and the per-task fee), credit packs and features. We will give at least 14 days’ notice of a price increase on the website and by email to account holders. Price changes apply only to tasks started after they take effect; credits you already bought keep their USD value. If you do not accept a price increase, you may stop using the service and, within 30 days after our notice, ask for a refund of your unused purchased credits.
Material changes to these terms will be published with an updated effective date and notified through the service or by email where required. Where our consent flow or the law requires, we will ask you to accept the new version before further paid use.
15Service provided “as is”; no service levels
Subject to the Australian Consumer Law section below, the service, the plugin and all output are provided “as is” and “as available”. We do not offer a service level agreement, uptime commitment or guaranteed support response time, and we do not promise that the service will be uninterrupted, error-free, secure, available in your country or compatible with your tools. AI providers, models and features may change or become unavailable.
16AI-generated code: no warranty
Code, plans, reviews and check reports produced through the service are generated automatically and may be wrong, insecure, incomplete, infringing or unsuitable. You are solely responsible for reviewing, testing and deciding whether to run, apply, deploy or distribute them. To the extent permitted by law, we give no warranty that output is accurate, of acceptable quality, fit for a particular purpose, original or non-infringing, and passing automated checks is not such a warranty.
17Limitation of liability
To the maximum extent permitted by law, and subject to the Australian Consumer Law section below:
These limits do not apply to liability that cannot lawfully be limited, or to our fraud or wilful misconduct.
18Australian Consumer Law and mandatory rights
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled: to cancel your service contract with us; and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or compensation for any other reasonably foreseeable loss or damage. If a failure does not amount to a major failure you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
Nothing in these terms or any policy excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law or other consumer protection law that cannot lawfully be excluded, restricted or modified. If such a law applies to you, any term that would otherwise do so is limited to the extent necessary.
19Your indemnity
You indemnify ONE LOOP PTY LTD and its officers, employees and contractors against losses, liabilities, costs and reasonable legal expenses arising from a claim by a third party to the extent it arises from: (a) code, content or data you submit; (b) your use of the service or of output, including code you run, deploy or distribute; (c) your breach of these terms, the Acceptable Use Policy or the law; or (d) infringement of a third party’s intellectual property, privacy or other rights by your content or your use of output. Your liability under this indemnity is reduced to the extent the loss was caused by our breach, negligence or wilful misconduct, and this indemnity applies only to the extent permitted by applicable consumer law.
20Third parties and responsibility
Your AI coding tool, AI providers, OpenRouter (in direct mode) and Creem are separate services with their own terms. Their involvement does not remove our obligations for the service we supply. You remain responsible for lawful instructions, necessary permissions and reviewing the work.
21Refunds, chargebacks and account closure
Refunds are handled only under /legal/credits-refunds. Please contact us before disputing a payment. If a payment is disputed or charged back, we may suspend your account while the dispute is open and remove the credits from that purchase from your balance. If the dispute is resolved in your favour, it is not a breach of these terms. If the charge was authorised and the service supplied, we may recover the value of credits already used from the disputed purchase and any dispute fee charged to us, to the extent permitted by law, before you use the service again.
22Events beyond our control
We are not liable for delay or failure caused by events beyond our reasonable control, including outages, changes or withdrawal of AI providers, payment processors, hosting, email or internet services, cyber attacks, power failures, natural disasters, epidemics, government action, war or industrial action. Your purchased credits remain on your account during such an event, and your rights under the Australian Consumer Law are not affected.
23General
Entire agreement: these terms and the policies referred to in them are the entire agreement between you and us about the service and replace any earlier statements, to the extent permitted by law. Severability: if any provision is invalid or unenforceable, it is read down to the extent necessary or severed, and the rest remains in effect. No waiver: a failure or delay in exercising a right is not a waiver. Assignment: you may not transfer your account or these terms without our consent; we may transfer them to a successor operator of the service on notice to you. Notices: we may give notices through the service or to your account email; you may give notices to xcrmc2@gmail.com. Terms that by their nature should survive termination (including payment, indemnity, limitation of liability and governing law) survive. The English version governs; translations are for convenience.
24Governing law and disputes
These terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales, Australia and courts that may hear appeals from them. This does not exclude any right or remedy under the Australian Consumer Law or other mandatory consumer protection laws that apply to you, including any mandatory right to rely on local law or bring proceedings in local courts. Contact us first if you wish to discuss a concern; this does not prevent a complaint or legal remedy.
